British Airways (BA) is learnt to be in talks with GoAir to strike a code-sharing, co-branding and marketing agreement.

This may eventually lead to acquisition of equity stake by BA in GoAir once India opens up investment by overseas airlines in domestic firms.

A person familiar with the situation said GoAir has appointed a London-based boutique investment bank, Euromax Capital for the transaction. He said the sharing agreements are expected to take place shortly. It will help BA to consolidate its market position in India, which is its largest contributor of passenger volumes after the US. GoAir will benefit from the BA network in India, in addition to the foreign carrier’s brand recall.

GoAir has three aircraft while BA has 48 flights a week from various Indian cities. The source said GoAir is looking at raising $150-170 million through dilution of a 35-40% equity. If the deal goes, it will value GoAir at around $350 million. When asked, the spokespersons of both GoAir and BA declined to comment. Both of them said that they do not comment “on market speculation.” Subodh Agrawal, chairman of Euromax Capital, also declined to comment on deal citing confidentiality agreements.

The Wadia group-promoted low-cost carrier GoAir will be expanding its fleet from six to 11 aircraft in the next 12 months. However, the carrier is looking at only adding more flights on existing destinations, as against new routes.

GoAir hopes to break even in the next fiscal (2008-09) and is on a cost-cutting drive to improve its financial health. A major step being its review and re-negotiation of MRO (maintenance, overhaul and re-pair) contract with SIA Engineering Company. “When the carrier started operations, our negotiating power was low. Now, we are in a position to get a better deal. Therefore, we are talking to other MRO players as well,” CEO Edgardo Badiali told ET.

The carrier, which has been conservative with its expansion plans, will have a fleet size of 11 Airbus A320 by the end of next fiscal. It is tar-geting a fleet size of 31 aircraft by 2012.

No-frill carrier GoAir plans to induct five more aircraft by March-end and expand its operations to South and the Northeast India.

The airline, owned by the Wadia family, is also focusing on its frequent flyer programme with a host of initiatives, including intensification of its operations on routes mostly in demand, GoAir Chief Executive Officer Edgardo Badiali told PTI here.
Asked about reports that the Wadia family wanted to sell some stake in the company, Badiali said "the decision will be that of the family... there is lot of interest from investors from different fields."
Regarding plans to establish operational hubs in different parts of the country, he mentioned the major metros of Hyderabad, Bangalore, Chennai and Kolkata, but said the decision-making process was still in the evaluation stage.

GoAir received a new A320 aircraft from Airbus yesterday. The aircraft is capable of accommodating up to 180 passengers in a single-class seating configuration.

"The new aircraft we have received is the second delivery of our USD 1.2 billion order placed with Airbus last year. Following the induction, we shall be operating 561 commercial flights per week under the new winter schedule from 259 now," said Jeh Wadia, Managing Director, GoAir in a company release.

The airline is slated to complete the expansion programme of doubling its flight operations by November-end, 2007.
